Terms of Service

1. Eligibility and Accounts

The Service is intended for real estate professionals and individuals working in the real estate industry. By using AgentPeak, you represent that you are at least 18 years old and have the legal authority to enter into these Terms.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@agentpeak.app if you suspect unauthorized access to your account.

2. Beta Access

Certain users may be granted access to AgentPeak during a beta period. Beta access is free of charge through May 25, 2026 for users who have been issued an invitation code. Beta access is personal, non-transferable, and subject to availability.

During the beta period, features may be incomplete, subject to change, or temporarily unavailable. We do not guarantee any specific level of uptime or service availability during the beta. After the beta period ends, continued access requires a paid subscription as described in Section 3.

We reserve the right to extend, shorten, or terminate the beta period at our discretion with reasonable notice to beta users.

3. Subscription Plans and Billing

After any applicable free trial or beta period, access to AgentPeak requires a paid subscription. The following plans are currently available:

Billing

Subscriptions are billed monthly in advance via PayPal. By subscribing, you authorize us to charge your PayPal account on a recurring monthly basis until you cancel. Your subscription renews automatically each month on the anniversary of your subscription start date unless cancelled prior to the renewal date.

Free Trial

New accounts may be eligible for a 14-day free trial of the Individual Agent plan. No credit card is required to start a trial. At the end of the trial period, continued access requires initiating a paid subscription.

Cancellation

You may cancel your subscription at any time through your account settings or by emailing hello@agentpeak.app. Cancellation takes effect at the end of your current billing period. You will retain access to the Service through the end of the paid period. We do not provide refunds for unused portions of a subscription period unless required by applicable law.

Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days' advance notice of any price changes before they take effect. Your continued use of the Service after a price change constitutes your acceptance of the new pricing.

4. Acceptable Use

AgentPeak is designed for use by real estate professionals for lawful coaching, training, and productivity purposes. You agree to use the Service only for its intended purpose and in compliance with all applicable laws and regulations.

You may not:

• Resell, sublicense, or redistribute access to the Service to third parties
• Share your account credentials with individuals not covered by your subscription plan
• Use the Service to train competing AI models or to extract data for competitive intelligence
• Upload call recordings of conversations without the consent of all parties where required by applicable law
• Use the Service to harass, stalk, or harm any person
• Attempt to reverse-engineer, decompile, or access the underlying source code or AI models
• Use automated bots or scripts to access the Service in a manner that exceeds normal human usage patterns
• Upload content that is illegal, fraudulent, or violates any third-party rights
• Circumvent any security measures or access controls within the platform

Violation of these acceptable use provisions may result in immediate suspension or termination of your account without refund.

5. User Content

Ownership

You retain ownership of all content you upload or create within the Service, including call recordings, activity notes, and coaching conversation inputs ("User Content"). AgentPeak does not claim ownership of your User Content.

License to AgentPeak

By uploading or submitting User Content to the Service, you grant AgentPeak a limited, non-exclusive, royalty-free license to process, store, transmit, and use your User Content solely for the purpose of providing and improving the Service to you. This license does not permit us to sell your User Content or share it with third parties except as necessary for service delivery (e.g., passing call recordings to our AI processing systems) or as described in our Privacy Policy.

Call Recording Consent

If you upload recordings of conversations with third parties, you represent and warrant that you have obtained all legally required consents from those third parties for the recording and processing of those conversations. AgentPeak is not responsible for any legal liability arising from your failure to obtain required consents.

Prohibited Content

You may not upload content that: (a) infringes any intellectual property rights; (b) contains personal information of others without their consent; (c) is defamatory, obscene, or illegal; or (d) contains malware, viruses, or malicious code.

6. AI Coaching Disclaimer

AgentPeak's AI coaching features — including Coach Max, AI Voice Roleplay, Call Grader, and Income Predictor — are provided for informational and training purposes only. AI coaching is not a substitute for licensed professional advice.

AgentPeak's AI does not provide legal, financial, tax, or investment advice. Nothing in the Service should be construed as professional advice of any kind. Real estate practices, regulations, and market conditions vary by location and change over time — always consult qualified professionals for guidance specific to your market and situation.

Income projections and GCI predictions generated by the Income Predictor are estimates based on historical activity inputs and are not guarantees of future earnings. Actual results will vary based on market conditions, individual effort, and numerous other factors outside our control.

7. Intellectual Property

All intellectual property in the AgentPeak platform — including software, AI models, design, branding, training content, DISC assessment methodology, and other proprietary materials — is owned by or licensed to AgentPeak. These Terms do not grant you any ownership rights in the Service.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your own internal business purposes during your subscription period, subject to these Terms.

8. Termination

Termination by You

You may terminate your account at any time by cancelling your subscription and requesting account deletion as described in our Privacy Policy. Termination does not entitle you to a refund of any prepaid subscription fees.

Termination by AgentPeak

We reserve the right to suspend or terminate your account at any time if we determine, in our sole discretion, that you have violated these Terms, engaged in abusive or fraudulent conduct, or that your continued use poses a risk to the Service, other users, or third parties. We will provide notice where reasonably practicable, except in cases of severe abuse where immediate termination is warranted.

Effect of Termination

Upon termination, your right to access the Service immediately ceases. Sections that by their nature should survive termination (including sections on User Content, disclaimers, limitation of liability, and governing law) will continue to apply.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTPEAK'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO AGENTPEAK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL AGENTPEAK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, USA, without regard to its conflict-of-law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be subject to good-faith negotiation between the parties. If the parties cannot resolve the dispute through negotiation within 30 days, either party may pursue resolution through binding arbitration administered under the rules of the American Arbitration Association (AAA) in Wake County, North Carolina. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.

You agree to bring any claims against AgentPeak only in your individual capacity and not as part of any class action or representative proceeding.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the platform at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any update constitutes your acceptance of the revised Terms.

The current version of these Terms is always available at agentpeak.app/terms-of-service.

12. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and AgentPeak regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
